20. MISCELLANEOUS. <br /> (A) This Agreement and the exhibits attached hereto or to be attached hereto, <br /> embody the entire agreement between the parties in connection with this transaction, and there <br /> are no oral agreements existing between the parties relating to this transaction that are not <br /> expressly set forth herein and covered hereby; this Agreement may not be modified except in a <br /> writing signed by all parties. <br /> (B) Time is of the essence of this Agreement. <br /> (C) In the event either party hereto fails to perform any of its obligations under <br /> this Agreement or in the event a dispute arises concerning the meaning or interpretation of any <br /> provision of this Agreement, the sole remedies shall be as specified in paragraphs 14 and 15 <br /> respectively, herein. <br /> (D) The captions and section numbers appearing in this Agreement are <br /> inserted only as a matter of convenience, and do not define, limit, construe or describe the scope <br /> or intent of such sections or articles of this Agreement nor in any way affect this Agreement. <br /> (E) This Agreement may be executed in multiple counterparts, each of which <br /> shall, for all purposes, be deemed an original and all of which, taken together, shall constitute <br /> one and the same agreement. <br /> (F) This Agreement shall be binding upon and inure to the benefit of the <br /> parties hereto and their respective successors in interest and assigns; provided, however, that no <br /> assignment of this Agreement shall in any way relieve the assignor of its obligations hereunder. <br /> Buyer may assign its rights pursuant to this Agreement by giving written notice of such <br /> assignment to Seller and the Escrow Agent. <br /> (G) This Agreement shall be construed and interpreted under, governed <br /> and enforced according to the laws of the State of Arizona. <br /> (H) Cancellation in the Event of Conflict.
