prior consultation with CYMPO. Upon a request from CYMPO to terminate <br /> the "on-loan" status of any or all of said personnel under this MOU, for the <br /> purpose of replacing them, Prescott will do so, provided, however, that in <br /> such event, Prescott may elect to terminate this MOU." <br /> SECTION 2. That Section 4 of the MOU is hereby amended to read as <br /> follows: <br /> "SECTION 4. TERM" <br /> This MOU shall commence upon its recordation with the Yavapai <br /> County Recorder, and shall continue in full force and effect until June 30, <br /> 2011; provided, however, that CYMPO may, upon written notice to Prescott <br /> not later than 60 calendar days prior to the first day of any fiscal year, elect to <br /> terminate this MOU effective the first day of such fiscal year. Either party <br /> may, upon not less than 180 calendar days prior written notice to the other <br /> party, elect to terminate this MOU at any other time. Prescott may, upon <br /> written notice to CYMPO, terminate this MOU in accordance with Section 1, <br /> Paragraph D, or for breach of this MOU by CYMPO. The parties may extend <br /> the term of this MOU beyond June 30, 2011, upon execution of an <br /> appropriate amendment hereto." <br /> SECTION 3. That except as amended herein, the MOU remains in full force <br /> and effect. <br /> PASSED, APPROVED AND ADOPTED by the Mayor and Council of the <br /> City of Prescott this 23rd day of June, 2009. <br /> JACK D.
