1.z. <br />COUNCIL AGENDA MEMO - July 23, 2013 <br />DEPARTMENT: Finance / Public Works <br />AGENDA ITEM: Approval of (1) Amendment No. 1 to City Contract No. 2013-060, <br />Development of Impact Fees, Infrastructure Improvement Plan and Associated <br />Documents, and Analysis and Development of Utility Rates authorizing assignment; and <br />(2) the Assignment and Assumption Agreement between ARCADIS U.S., Inc., and Raftelis <br />Financial Consultants, Inc. <br />Approved By: vaLa. <br />Department Head: Mark Nietu ski 7/15/2013 <br />Finance Director: Mark Woodfill <br />City Manager: Craig McConnell 74743 <br />Item Summary <br />This agenda item consists of two approvals pertaining to City professional services <br />Contract No. 2013-060, Development of Impact Fees, Infrastructure Improvement Plan <br />and Associated Documents, and Analysis and Development of Utility Rates, with Red <br />Oak Consultants as follows: <br />(1) Contract Amendment No. 1, with Red Oak Consultants, authorizing <br />assignment to Raftelis Financial Consultants <br />(2) the Assignment and Assumption Agreement between ARCADIS U.S., Inc., <br />and Raftelis Financial Consultants. <br />Background <br />On October 23, 2012, Council awarded a professional services contract to Red Oak <br />Consulting, an ARCADIS U.S., Inc., company. The City and Red Oak Consulting have <br />been working jointly since to deliver the state -mandated impact fees study. In recent <br />months Red Oak Consulting has experienced staff turnover which includes individuals <br />with primary responsibility for the City Contract. These key team members are now <br />employed by Raftelis Financial Consultants. At this juncture of the study it is in the <br />City's interest to continue with the expertise and knowledge of the original team to meet <br />prescribed legislative timeframes. <br />Section 10 of Contract No. 2013-060 addresses assignment. ARCADIS U.S., Inc., <br />(parent company of Red Oak Consulting) and Raftelis Financial Consultants have <br />agreed to the assignment and supplied the attached document identifying the <br />associated terms. The work (impact fee study) will be delivered by Raftelis Financial <br />Consultants through the assignment with no cost increase. <br />
