Montezuma <br /> Prescott, Arizona 86301 <br /> 928-445-2528 <br /> All notices shall be deemed given when delivered or, if mailed as provided above, on the second <br /> day after the day of mailing, and if sent by overnight courier, on the next day after the date of <br /> deposit with the courier, and if sent by facsimile, upon machine confirmation of receipt. Any <br /> party may change his address for the receipt of notices at any time by giving written notice <br /> thereof to the other parties in accordance with the terms of this section. The inability to deliver <br /> notice because of a changed address of which no notice was given, or rejection or other refusal to <br /> accept any notice, shall be deemed to be the effective receipt of the notice as of the date of such <br /> inability to deliver or rejection or refusal to accept. <br /> 14. SELLER'S REMEDIES. <br /> Provided Seller is not in default hereunder, in the event the escrow hereunder fails <br /> to close because of a breach by the Buyer or Buyer's inability to satisfy any of the conditions <br /> precedent set forth herein, Seller shall not be entitled to specifically enforce this Agreement. In <br /> that event, the Earnest Money Deposit that has been deposited into escrow, together with all <br /> earnings thereon, shall be released to Seller, free of all claims of Buyer. Seller's sole remedy <br /> shall be to retain the Earnest Money Deposit and earnings thereon as liquidated damages. <br /> 15. BUYER'S REMEDIES. <br /> Provided Buyer is not in default hereunder, in the event the escrow hereunder fails <br /> to close because of a breach by the Seller or Seller's inability to satisfy any of the conditions <br /> precedent set forth herein, Buyer shall not be entitled to specifically enforce this Agreement.
