LIBRARY SUPPORT AGREEMENT <br /> MEMBERSHIP IN THE YAVAPAI LIBRARY NETWORK <br /> g. Governing Law. Any disputes regarding this agreement shall be governed by and construed in <br /> accordance with the laws of the state of Arizona,excluding its choice of law provisions. <br /> The parties shall comply with all laws, ordinances, and regulations of any applicable federal, <br /> state, county, or city government, bureau, or department applicable to the performance of the <br /> services described herein and agree to provide all cooperation reasonably necessary for such <br /> compliance. <br /> h. Scrutinized Business Operations. Pursuant to A.R.S. §35-391.06 and 35-393.06, the Parties <br /> certify that they do not have a scrutinized business operation in Sudan or Iran. For the purposes <br /> of this paragraph the term "scrutinized business operation" shall have the meanings set forth in <br /> A.R.S. §35-391 or and 35-393, as applicable. If either Party determines that the other Party <br /> submitted a false certification, the Party may impose remedies as provided by law including <br /> cancellation or termination of this Agreement. <br /> August 30,2012 Page 6 of 16 <br />
