MEMORANDUM OF UNDERSTANDING <br /> CITY OF PRESCOTT/CYMPO <br /> PERSONNEL, PURCHASING,AND ACCOUNTING SERVICES <br /> THIRD AMENDMENT <br /> WHEREAS the parties hereto did enter into a Memorandum of <br /> Understanding for the City of Prescott to provide certain personnel, purchasing and <br /> accounting services for the Central Yavapai Metropolitan Planning Organization, <br /> more particularly identified as City of Prescott Contract Number 03-265 (hereinafter <br /> referred to as the "MOU"), which MOU was recorded in Book 4101 at Page 975, <br /> Records of the Yavapai County Recorder; and <br /> WHEREAS the Second Amendment thereto provided for a termination date <br /> of June 30, 2009; and <br /> WHEREAS the parties hereto do wish to continue and extend the MOU for <br /> two additional years; and <br /> WHEREAS the City of Prescott has previously approved an increase in the <br /> number of personnel employed on-loan to CYMPO from two to three, defined for <br /> the purposes herein to be three full-time-equivalent staff; and <br /> WHEREAS pursuant to Section 3 (B) of the MOU, CYMPO is responsible <br /> for providing funding for all personnel employed by Prescott on-loan to CYMPO. <br /> NOW, THEREFORE, for good and valuable consideration, the receipt and <br /> sufficiency of which is hereby acknowledged by each party to the other, the parties <br /> hereto agree as follows: <br /> SECTION 1. That Section 1, Subparagraphs (B) through (D), of the MOU is <br /> hereby amended to read as follows: <br /> "SECTION 1. PERSONNEL AND SERVICES TO BE PROVIDED <br /> BY PRESCOTT: <br /> (B) Prescott will employ a maximum of three full-time-equivalent <br /> personnel on behalf of and solely for the purpose of providing staffing for <br /> CYMPO, in the capacity of"City of Prescott employees on-loan to CYMPO": <br /> MPO Administrator, and two other full-time-equivalent employees.
